Chemring Group PLC (“Chemring”) announces the sale of Kembrey Wiring Systems Limited (“Kembrey”) to Time 24 Limited (“Time 24”) for a cash consideration of £1.9 million, subject to a working capital adjustment.

£1.215 million of the consideration has been paid in cash at completion with £200,000 payable in January 2004, and the balance of £485,000 payable in two equal instalments on 8 November 2004 and 8 November 2005.

The audited net assets of Kembrey at 31 October 2002 were £2.5 million and at completion the unaudited net assets were £1.9 million. There is no goodwill in the Group balance sheet relating to Kembrey.

Kembrey manufactures and supplies wiring harnesses for the aerospace industry. In the year to 31 October 2002, Kembrey made an audited pre-tax profit of £352,000 on sales of £9.3 million. In the year to 31 October 2003, Kembrey made an unaudited pre-tax loss of £226,000 on sales of £7.1 million.

The proceeds will be used to reduce net debt. David Evans, Chemring Chief Executive, commented: “The disposal of Kembrey completes the Board’s strategy of divesting of non-core businesses. The Group now comprises three core businesses - Countermeasures, Military Pyrotechnics and Marine Safety. Time 24, which is already well-established in the wiring harness industry, is a good home for Kembrey.”
